These Terms of Service (“Terms”) govern your access to and use of CultureKey’s services, including the website at culturekey.io. By using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

1. Definitions

• “Company”: CultureKey LLC. (“We,”, “Us,” or “Our”).
• “Service”: The website and related services provided by the Company.
• “Content”: Text, images, and other materials posted, uploaded, or shared on the Service.
• “Account”: Your unique profile created to access the Service.
• “Affiliate”: An entity under common control with the Company.
• “You”: The individual or legal entity using the Service.

2. Acknowledgment

By using the Service, you confirm that:

• You are at least 18 years old.
• You accept and comply with these Terms and our Privacy Policy.

The Company may update these Terms, with material changes notified at least 30 days in advance. Continued use of the Service constitutes your acceptance of revised terms.

3. User Accounts

• Accuracy: Provide accurate, complete, and current information when creating an account.
• Security: Safeguard your password and notify the Company of any unauthorized use.
• Restrictions: Do not use offensive, vulgar, or unauthorized usernames.

4. Content and Restrictions

• Your Rights: You retain ownership of your Content but grant the Company a license to use, modify, and distribute it.
• Your Responsibilities: Ensure your Content complies with legal and ethical standards and does not infringe on others’ rights.
• Prohibited Content: Includes, but is not limited to, unlawful, offensive, defamatory, or harmful material.
  The Company reserves the right to remove inappropriate Content and limit or revoke access for violations.

5. Copyright Policy

The Company respects intellectual property rights and complies with the DMCA. To report copyright infringement, submit a detailed notice to [email protected], including:

• A description of the copyrighted work and its location.
• Identification of the infringing material.
• Your contact information.

6. CultureConnectors and Network of Experts Programs

• Independent Contractors: Membership does not create an agency or joint venture relationship.
• Eligibility: Members must be over 18, unaffiliated with CultureKey, and truthful in referrals.
• Payouts: Referral payments are contingent upon employer payment to CultureKey and member compliance with requirements.

7. Limitation of Liability

The Company’s liability is limited to up to $10 if no payments were made. The Company is not liable for indirect, incidental, or consequential damages, except as required by applicable law.

8. Disclaimer

The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind. The Company disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

9. Governing Law & Dispute Resolution

• Law: These Terms are governed by the laws of Arizona, USA.
• Arbitration: Disputes must be resolved through binding arbitration under the AAA rules. Claims may only be brought individually, not as part of a class action.

10. Termination

The Company may suspend or terminate your Account for any breach of these Terms. Upon termination, your right to use the Service ceases immediately.
